This End-User License Agreement (the “Agreement” or “EULA”) is a legal agreement between you, either an individual or a single legal entity (“you” or “Licensee”), and Bitsum LLC, a Tennessee limited liability company (“Bitsum,” “we,” “us,” or “our”). This Agreement governs your acquisition and use of the software published by Bitsum, including all components, media, printed materials, and electronic documentation (collectively, the “Software”).
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE DOWNLOADING, INSTALLING, ACTIVATING, OR OTHERWISE USING THE SOFTWARE. It grants you a license to use the Software and contains warranty disclaimers, limitations of liability, and other terms that affect your legal rights.
By clicking “I accept,” “Accept,” or a similar button during installation, by activating a license key, and/or by downloading, installing, copying, or otherwise using the Software, you confirm your acceptance of the Software and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, activate, or use the Software, and you must not accept this Agreement.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity and its affiliates to these terms and conditions. If you do not have such authority, or if you do not agree with these terms, you must not install or use the Software and must not accept this Agreement.
This Agreement applies only to the Software supplied by Bitsum herewith, regardless of whether other software is referred to or described herein. It also applies to any Bitsum updates, upgrades, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items upon delivery, in which case those other terms apply.
1.1 “Software” means any software product published or distributed by Bitsum and licensed to you under this Agreement, including without limitation Process Lasso, ParkControl, CoreDirector, CorePrio, PECompact, ThreadRacer, ProcWatch, and any associated tools, utilities, media, documentation, and online or electronic materials.
1.2 “Device” means a single physical or virtual computer, workstation, laptop, server, tablet, or other hardware system under your control on which the Software is installed or run.
1.3 “License Key” means the activation code, registration key, serial number, or credential issued by Bitsum that enables licensed features of the Software.
1.4 “Free Edition” means a version of the Software, or a feature set within the Software, that Bitsum makes available at no charge, subject to the limitations described in this Agreement and in the Software.
1.5 “Trial” or “Evaluation” means use of the Software, or of features within the Software, on a time-limited basis for the purpose of evaluation prior to purchase.
1.6 “Paid License” means a license to use paid or “Pro” features of the Software acquired through purchase, including perpetual (“lifetime”), subscription, volume, or original equipment manufacturer (“OEM”) licenses.
1.7 “Documentation” means the user manuals, help files, release notes, and other materials provided by Bitsum describing the use and operation of the Software.
2.1 Subject to your compliance with the terms of this Agreement, including timely payment of any applicable license fees, Bitsum hereby grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the Software on Devices under your control, solely for your own internal or personal purposes and in accordance with the Documentation and this Agreement.
2.2 You are responsible for ensuring that each Device meets the minimum system requirements for the Software as published by Bitsum. Bitsum is not responsible for the failure of the Software to operate on a Device that does not meet those requirements.
2.3 The number of Devices, users, or installations covered by your license is determined by the edition you acquire and the terms presented at the time of purchase or within the Software. Use beyond the scope of your purchased license requires the acquisition of additional licenses.
3.1 Process Lasso. Process Lasso is free to use indefinitely; however, certain advanced features are disabled after a trial period. You may use the Free Edition for commercial purposes during the trial period of thirty (30) days. After that period, you must purchase a Paid License (or “Pro” license) to continue using the advanced features.
3.2 Perpetual (“Lifetime”) Licenses. Where Bitsum offers a perpetual or “lifetime” license, that license grants the rights described in Section 2 for the version family designated at purchase and for the lifetime of the licensed product, subject to this Agreement. “Lifetime” refers to the supported lifetime of the product and does not constitute a warranty of perpetual availability, support, or compatibility with future operating systems or hardware.
3.3 Subscription Licenses. Where Bitsum offers a subscription license, your right to use the licensed features continues only for the paid subscription term and terminates upon expiration or non-renewal of the subscription, unless renewed.
3.4 Volume and OEM Licenses. Volume, enterprise, redistribution, embedding, and OEM licenses are governed by separate written agreements between you and Bitsum and may modify or supersede the terms of this Agreement with respect to the Software covered by such agreements.
3.5 Other Products. Other products published by Bitsum may have distinct license restrictions, trial periods, and terms, as presented within the Software or its accompanying materials. In the event of a conflict, the terms presented with a specific product control with respect to that product.
4.1 Trial or Evaluation use is permitted solely for the purpose of evaluating the Software prior to purchase and is subject to the time limits stated in this Agreement or within the Software.
4.2 You may not use multiple trials, reinstallation, account changes, system clock manipulation, or any other method to extend or circumvent a trial period or to avoid the purchase of a required license.
4.3 At the conclusion of a trial period, features requiring a Paid License will be disabled until a valid License Key is applied.
5.1 Paid features may require activation using a License Key. You agree to keep your License Key confidential and not to share, publish, resell, or otherwise distribute it.
5.2 The Software may contact Bitsum or its service providers to validate licenses, check for updates, and verify entitlement. You consent to such communications as a condition of using licensed features.
5.3 Bitsum reserves the right to deactivate or invalidate License Keys that are issued in error, obtained fraudulently, charged back, refunded, distributed in breach of this Agreement, or otherwise used in violation of this Agreement.
6.1 Bitsum may, at its discretion, make available updates, upgrades, patches, supplements, or additional components for the Software. Unless accompanied by separate terms, any such items are deemed part of the Software and are governed by this Agreement.
6.2 Bitsum is under no obligation to provide updates or upgrades and may modify, discontinue, or stop supporting any version of the Software at any time.
6.3 Major version upgrades may require the purchase of a new or upgrade license, except where your license expressly includes such upgrades.
You shall not, and shall not permit any third party to:
7.1 Edit, alter, modify, adapt, translate, or otherwise change the whole or any part of the Software, nor permit the whole or any part of the Software to be combined with or incorporated into any other software, except as expressly permitted by this Agreement or by applicable law that cannot be excluded by agreement.
7.2 Decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, or organization of the Software, except to the limited extent such activity is expressly permitted by applicable law notwithstanding this restriction.
7.3 Reproduce, copy, distribute, republish, rent, lease, lend, sell, sublicense, assign, or otherwise transfer the Software, or make the Software available to any third party, except as expressly authorized by this Agreement or by a separate written agreement with Bitsum. For the avoidance of doubt, this restriction concerns the redistribution or resale of the Software itself and does not restrict your use of a properly licensed copy of the Software in the ordinary course of your own commercial activities.
7.4 Remove, obscure, or alter any proprietary notices, labels, License Keys, or marks on or in the Software.
7.5 Circumvent, disable, or interfere with license enforcement, activation, trial-limitation, or security features of the Software.
7.6 Use the Software in any manner that breaches any applicable local, national, or international law or regulation.
7.7 Use the Software for any purpose that Bitsum reasonably considers to be a breach of this Agreement.
8.1 The Software is licensed, not sold. Bitsum and its licensors shall at all times retain ownership of the Software as originally downloaded by you and of all subsequent downloads, copies, and versions of the Software. The Software, and the copyright, patent, trademark, trade secret, and all other intellectual property rights of whatever nature in and to the Software (including any modifications and derivative works), are and shall remain the property of Bitsum and its licensors.
8.2 Except for the limited license expressly granted in this Agreement, no right, title, or interest in or to the Software is transferred to you. All rights not expressly granted are reserved by Bitsum.
8.3 Bitsum reserves the right to grant licenses to use the Software to third parties.
9.1 The Software may include third-party or open-source components that are subject to separate license terms. Such components are provided under their respective licenses, which are identified in the Documentation, within the Software, or in accompanying notices.
9.2 To the extent the terms of a third-party or open-source license conflict with this Agreement with respect to a given component, the terms of that license control as to that component only.
10.1 The Software may collect and transmit limited information to Bitsum or its service providers, such as for the purpose of checking for updates, validating licenses, and improving product quality. The nature of such data collection and your choices regarding it are described in Bitsum’s Privacy Policy, available at https://bitsum.com/privacy-policy/.
10.2 By using the Software, you acknowledge and agree that information may be collected and used as described in the Privacy Policy, which is incorporated into this Agreement by reference.
11.1 Bitsum may, at its discretion, provide support services for the Software through its website, forum, email, or other channels. Any support provided is subject to Bitsum’s then-current support policies and is not guaranteed except as expressly stated in a separate written agreement.
11.2 Any supplemental software code or materials provided to you as part of support services are deemed part of the Software and subject to this Agreement.
12.1 Fees for Paid Licenses are as stated at the time of purchase. You are responsible for any applicable taxes.
12.2 Bitsum offers a thirty (30) day satisfaction guarantee. If you are not satisfied with a purchased license, you may request a refund within thirty (30) days of purchase in accordance with Bitsum’s refund policy. Refunds may be conditioned on deactivation and discontinued use of the licensed features, and Bitsum reserves the right to deny refunds in cases of abuse or violation of this Agreement.
13.1 This Agreement is effective from the date you first download, install, activate, or use the Software and shall continue until terminated as provided herein.
13.2 You may terminate this Agreement at any time upon written notice to Bitsum and by ceasing all use of the Software and destroying or removing all copies in your possession or control.
13.3 This Agreement will terminate automatically and immediately, without notice, if you fail to comply with any term of this Agreement. Bitsum may also terminate this Agreement or any license granted hereunder in the event of non-payment, chargeback, or fraud.
13.4 Upon any termination, the licenses granted under this Agreement immediately terminate, and you agree to cease all access to and use of the Software and to remove or destroy all copies in your possession or control.
13.5 The provisions of this Agreement that by their nature should survive termination shall survive, including without limitation Sections 7 (Restrictions), 8 (Intellectual Property and Ownership), 14 (Disclaimer of Warranties), 15 (Limitation of Liability), 16 (Indemnification), 19 (Governing Law and Dispute Resolution), and 20 (General Provisions).
14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. BITSUM AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
14.2 BITSUM DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
14.3 YOU ASSUME THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE SOFTWARE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
15.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BITSUM OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF BITSUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF BITSUM ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID TO BITSUM FOR THE SOFTWARE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) FIVE U.S. DOLLARS (US$5.00).
15.3 THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY NOTWITHSTANDING THE FAILURE OF ANY ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Bitsum and its officers, members, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Software in breach of this Agreement or in violation of any applicable law or the rights of any third party.
You acknowledge that the Software may be subject to the export control laws and regulations of the United States and other jurisdictions. You agree to comply with all such laws and regulations and represent that you are not located in, under the control of, or a national or resident of any country or on any list to which the export, re-export, or transfer of the Software is prohibited. You shall not export, re-export, or transfer the Software in violation of any applicable export control law.
The Software is a “commercial item” as defined in 48 C.F.R. 2.101, consisting of “commercial computer software” and “commercial computer software documentation.” Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202, the Software is licensed to U.S. Government end users (a) only as a commercial item and (b) with only those rights granted to all other end users pursuant to this Agreement.
19.1 This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter, shall be governed by and construed in accordance with the laws of the State of Tennessee, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
19.2 You agree that the exclusive venue for any dispute arising out of or relating to this Agreement shall be the state and federal courts located in Tennessee, and you consent to the personal jurisdiction of such courts, to the extent permitted by applicable law.
20.1 Entire Agreement. This Agreement, together with any terms presented within the Software, the Privacy Policy, and any separate written agreement between you and Bitsum, constitutes the entire agreement between you and Bitsum regarding the Software and supersedes all prior or contemporaneous understandings.
20.2 Amendments. Bitsum may revise this Agreement from time to time. The version accompanying or applicable to a given release of the Software governs your use of that release. Your continued use of the Software following the posting of a revised Agreement constitutes acceptance of the revised terms.
20.3 Assignment. You may not assign or transfer this Agreement or any rights or obligations hereunder, in whole or in part, without Bitsum’s prior written consent. Bitsum may assign this Agreement without restriction. Any attempted assignment in violation of this section is void.
20.4 Severability. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
20.5 Waiver. No failure or delay by Bitsum in exercising any right under this Agreement shall constitute a waiver of that right. No waiver shall be effective unless made in writing.
20.6 Force Majeure. Bitsum shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control.
20.7 Notices. Notices to Bitsum under this Agreement should be sent through the contact methods provided at https://bitsum.com/contact/.
20.8 Headings. Section headings are for convenience only and have no legal or contractual effect.
